Constitution and By-laws. ==== [pages 2-3] CONSTITUTION AND BY-LAWS OF THE — HOBOKEN YACHT CLUB — PREAMBLE This organisation was founded September 27, 1901 as the Hoboken Yacht Club, and was incorporated under this name, October 30, 1905, under laws of the State of New Jersey, ARTICLE I. Sec. 1. Regular meetings shall be held the ..............................of each month at ................ P. M.,except in case this should be a legal holiday, when the regular meeting shall be held same day of following week. Sec. 2. Whenever the Commodore deems it necessary he shall be empowered to call a special meeting. Sec. 3. When special meetings are called, the Commodore shall instruct the secretary to place notice on bulletin board and notify members by postal thereof. Sec. 4. The presence of ................members shall constitute a quorum. Sec. 5. The regular meeting in December shall be the Annual Meeting, at which all officers for the ensuing year shall be elected. ARTICLE II. Sec. 1. All officers shall assume duty the first meeting of the year. Sec. 2. The officers of the club shall be: Commodore, Vice Commodore, Rear Commodore, Recording Secretary, Financial Secretary, Treasurer and Fleet Captain. Sec. 3. The Commodore shall preside at all meetings, but in his absence, Vice or Rear Commodore shall preside. Sec. 4. The Recording Secretary shall take and keep minutes of all meetings. Sec. 5. The Financial Secretary shall keep correct monetary accounts of the club's finances. Sec. 6. The Treasurer shall be entrusted with the club's money. Sec. 7. The Fleet Captain shall preserve order at all meetings. Sec. 8. Any officer absent for three consecutive meetings may be replaced. ARTICLE III. The procedure at all regular meetings shall be as follows: 1. Meeting called to order. 2. Roll call. 3. Collection of dues. 4. Reading minutes of previous meeting. 5. Communications and bills. 6. Unfinished business. 7. New business. 8. Good and welfare of the club. 9. Propositions and balloting for membership. ==== [pages 4-5] 10. Election of officers. 11. Financial Secretary's report. 12. Adjournment. ARTICLE IV. Sec. 1. The membership of this club shall be limited to .................................... Sec. 2. Any person desiring to join this club shall make written application therefor, signed by two members who will vouch for him, and deposit the initiation fee, which is ................................dollars with the Treasurer. Sec. 3. Applicants' names shall appear on bulletin board until next regular meeting, when they shall be voted upon by ballots, which are to be uniform in size and folded but once. Sec. 4. Three nays shall bar applicants from membership. Sec. 5. The monthly dues shall be fifty cents, payable in advance. ARTICLE V. Sec. 1. Any member who has failed to abide by the Constitution and By Laws and decisions of the club or otherwise acted a' gainst the best interests of the club or acted in any other manner unbecoming a member of the club is subject to expulsion. Sec. 2. Any member using another's property without owner's consent, shall (except in cases of emergency), be subject to expulsion from club, or a fine of a sum of not less than twenty-five (25) cents. This penalty may only be imposed by acting Commodore at a regular meeting at which members shall determine the penalty upon charges brought by owner of misused property, to whom said fine shall be paid. Sec. 3. Any member wilfully disturbing the procedure at a meeting shall be subject to a fine of ................cents, which is to be imposed by acting Commodore and paid into club's treasury. Sec. 4. Any member three months in arrears of dues shall be notified thereof by registered letter and be paid up in full by next regular meeting, and in case of failure to do so, expels himself. Sec. 5. Any member acting ungentlemanly at a meeting shall be ejected. Sec. 6. Any non-member who while visiting the club has acted in a manner unbecoming a guest or who has otherwise abused the privileges of the club or who is found to be an undesirable person may by decision of the club in meeting assembled be debarred from being on or using any of the club's property under any circumstances. Sec. 7. Expulsion from the club shall only be made after charges have been brought against a member and this member shall have been given an opportunity to answer the charges in meeting assembled. Expulsion shall require an affirmative vote of a two-thirds majority of the ballots cast and in any event not less than 7 affirmative votes. ==== [page 6] Sec. 8. The south side of club float shall be kept clear as, and for a boat landing, also shall club's entrance gate be kept closed at all times. Violators of this section shall be subject to a penalty, pending the decision thereof by members at a regular meeting. Sec. 9. The officers of the club shall constitute a committee to assign mooring places to each boat in the club basin. Their decisions on mooring assignments shall be considered decisions of the club unless appealed to the club in meeting assembled and changed by the club. Effective February 3, 1914.
